The Reality of "Ease of Doing Business"
While India has climbed the World Bank rankings, ground-level incorporation remains document-heavy. The SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) form has consolidated applications, but apostillization of foreign documents remains a 2-3 week bottleneck.
The Local Director Mandate
Under Section 149(3) of the Companies Act, 2013, every company must have at least one director who has stayed in India for a total period of not less than 182 days during the financial year. Finding a reliable, compliant resident director is often the first major operational hurdle for a foreign WOS.
Capital Infusion & FEMA Compliance
Once incorporated, share capital must be deposited into the Indian corporate bank account within 60 days. Following this, an FC-GPR (Foreign Currency-Gross Provisional Return) must be filed with the RBI within 30 days of allotment.
